Affiliate Program Terms

1. The Program

The Program allows approved Affiliates to earn commissions by referring new paying customers to the FirstLeads platform. Tracking, reporting, and payouts are administered through our third-party affiliate platform (currently Tolt). Your use of the affiliate dashboard is also subject to that platform's own terms.

2. Enrollment & Eligibility

• Applications are reviewed and may be accepted or declined at our sole discretion. We may ask about your promotion methods before approval.
• You must be at least 18 years old, provide accurate account and payout information, and keep it current.
• One affiliate account per person or entity. Accounts are not transferable.
• Current FirstLeads customers may join, but self-referrals (Section 6) are never commissionable.

3. Referrals & Attribution

• A "Referred Customer" is a new customer who subscribes to a paid FirstLeads plan within 45 days of clicking your affiliate link, as recorded by our tracking platform.
• Attribution is first-click: the first affiliate whose link a visitor clicks receives credit. Later clicks on other affiliate links do not reassign credit within the attribution window.
• Tracking depends on cookies and our affiliate platform's records, which are authoritative. We cannot credit referrals that our tracking cannot attribute (e.g., blocked cookies, link-free word of mouth), and we are not liable for tracking failures beyond our reasonable control.
• Existing customers, prior signups, and customers already in an active sales conversation with us are not commissionable, even if they later click your link.

4. Commissions

• Commission rates are tiered by your number of Referred Customers: 10% for partners with 0–10 referred customers; 20% for partners with 11–30 referred customers; 30% for partners with 31+ referred customers. Rate upgrades are applied automatically and take effect on commissions generated after the upgrade; they are not retroactive.
• Commissions accrue on payments made by each Referred Customer during their first 12 months as a paying customer. Payments after that period are not commissionable.
• Commissions are calculated on net subscription revenue actually received, excluding taxes, refunds, chargebacks, credits, and one-time add-on purchases unless we state otherwise.
• We may change rates, tiers, or program structure prospectively with notice (Section 10). Changes never reduce commissions already earned.

5. Payouts

• Approved commissions are paid monthly through the affiliate platform to your configured payout method.
• Commissions are approved after the underlying payment clears and any refund window passes. If a Referred Customer's payment is refunded, disputed, or charged back, the related commission is reversed — including by deduction from future payouts if already paid.
• You are responsible for all taxes on your commissions and for providing any tax documentation we reasonably request (e.g., W-9/W-8). You are an independent contractor, not an employee, agent, or representative of the Company.

6. Prohibited Activities

Engaging in any of the following voids the related commissions and may result in immediate termination from the Program:

• Self-referrals: purchasing through your own link, or referring accounts you own or control.
• Brand bidding: bidding on "FirstLeads," "First Leads," misspellings, or confusingly similar terms in any paid search or paid social campaign, or directing paid traffic to our domains directly.
• Cookie stuffing: setting affiliate cookies without a genuine, user-initiated click (iframes, pop-unders, forced redirects, pixel stuffing, browser extensions that inject your link).
• Spam: unsolicited bulk email, SMS, DMs, forum/comment spam, or any promotion that violates CAN-SPAM, TCPA, or similar laws.
• Impersonation: presenting yourself as FirstLeads, using our trademarks in domain names, subdomains, social handles, or app names, or publishing content reasonably likely to be mistaken for an official FirstLeads property.
• Misleading promotion: false or unsubstantiated claims about the product, fabricated pricing or discounts, unauthorized coupon codes, or income guarantees to prospective customers.
• Incentivized traffic: paying, rebating, or otherwise compensating people to sign up, without our prior written approval.

7. Marketing & Disclosure

• You must clearly disclose your material connection to FirstLeads wherever you share affiliate links, as required by the FTC's Endorsement Guides (16 C.F.R. Part 255) and equivalent local rules.
• We grant you a revocable, non-exclusive license to use the FirstLeads name, logo, and provided marketing assets solely to promote the Program in accordance with these Terms.
• Keep product claims accurate and consistent with our published materials. When in doubt, ask us first.

8. Term & Termination

• Either party may terminate participation at any time, with or without cause, on notice (email or dashboard notice suffices).
• On termination without cause, commissions properly earned before the termination date are paid in the normal payout cycle; no new commissions accrue after termination.
• On termination for fraud or breach of Section 6, all unpaid commissions are forfeited.
• We may withhold payouts pending investigation of suspected fraudulent or non-compliant activity.

9. Disclaimer & Limitation of Liability

The Program is provided "as is." We make no guarantee of earnings, referral volume, tracking availability, or Program continuity. To the maximum extent permitted by law, our aggregate liability arising out of the Program is limited to the commissions properly earned but unpaid at the time the claim arose.

10. Changes to These Terms

We may update these Terms or the Program (including rates and tiers) by posting the updated Terms on this page and providing notice via the affiliate dashboard or email. Changes apply prospectively from their effective date; continued participation constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, and any disputes are subject to the dispute-resolution provisions of our general Terms & Conditions.
